Terms of Service

These Terms of Service (“Terms”) govern your use of the Downtime platform (“Service”), operated by Rod's Perspectives LLC (“we,” “us,” or “our”), a Michigan limited liability company. By using the Service, you agree to these Terms.

1. Service Description

Downtime is a business listing management platform that allows business owners to update their hours, post content, and manage their presence across multiple platforms (Google Business Profile first, and approved Meta/Instagram accounts when available) via SMS text messages and a web portal.

For consumers, Downtime displays real-time business hours and information to help people find what's open nearby.

2. Account Registration

Business owners register by providing their first name, business name, email address, phone number, and any optional platform setup details they choose to share. By registering, you represent that:

  • You are at least 18 years of age.
  • You are authorized to manage the business listings you connect to Downtime.
  • The information you provide is accurate and you will keep it current.

3. Platform Connections

Downtime manages your business listings on third-party platforms (Google first, plus approved Meta/Instagram accounts when available) using OAuth authorization that you grant. By connecting a platform, you:

  • Authorize Downtime to read and modify your business information on that platform as you direct.
  • Understand that Downtime acts on your behalf — we make changes only when you approve them via SMS or the web portal.
  • Can revoke access at any time by disconnecting the platform in your Google or Meta account settings, where applicable.
  • Understand that Downtime's use of Google Business Profile data is limited to owner-facing listing management features and follows the Google API Services User Data Policy, including Limited Use requirements.

4. Billing and Payment

The Downtime pilot may be offered free of charge while we test the service with selected businesses. If paid subscriptions are offered, pricing will be disclosed before billing begins.

Pilot Pricing

Selected pilot participants may use Downtime free of charge during the pilot period unless we separately agree otherwise in writing.

Future Subscription Pricing

After the pilot, if you choose to continue using Downtime as a paid subscription, the planned pricing is:

  • First month: $1.00
  • Subsequent months: $29.00 per month

Paid subscriptions are billed monthly and renew automatically only after you agree to paid pricing. You will be charged on the same date each month. All payments are processed securely through Stripe.

Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • You retain access to the Service through the end of your current billing period.
  • Your subscription will not renew, and you will not be billed for any subsequent billing period after cancellation.
  • Connected platform tokens will be revoked and your business listing management will stop.

Refunds

We do not offer refunds for partial billing periods. If you believe you were charged in error, contact us at rod@downtime.life within 30 days.

Sales Tax

Applicable sales tax (including Michigan 6% use tax on SaaS services) will be added to your subscription fee as required by law.

5. SMS Service

SMS consent is collected separately during signup. By providing your phone number and checking the SMS consent box, you agree to receive SMS messages from Downtime, including:

  • Business setup and account status messages
  • Command confirmations and execution results
  • Platform connection alerts and token expiry warnings
  • Business hours updates, posting confirmations, and service notifications

Message frequency varies based on your usage. Message and data rates may apply. Text STOP to unsubscribe at any time. Text HELP for assistance.

You may also request SMS help or opt out by contacting us at rod@downtime.life. We will honor reasonable opt-out requests even if they are not sent through the STOP keyword.

Carriers are not liable for delayed or undelivered messages.

6. Acceptable Use

You agree not to:

  • Use the Service to manage listings for businesses you are not authorized to represent.
  • Submit false or misleading business information through the Service.
  • Attempt to circumvent security measures, rate limits, or access controls.
  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Resell, sublicense, or commercially exploit the Service without our written consent.

7. Intellectual Property

The Downtime platform, including its design, code, and brand elements, is the property of Rod's Perspectives LLC. Your business content (hours, posts, photos, logos, uploaded images, and flyers) remains your property — we claim no ownership over it.

You authorize Downtime to use content you provide solely to operate the Service, including generating previews, publishing approved posts, and managing connected business listings on your behalf.

8. Service Availability

We strive to keep Downtime available at all times, but we do not guarantee uninterrupted service. Third-party platform APIs (Google, Meta, etc.) may experience downtime or changes outside our control. We are not responsible for delays or failures caused by third-party services.

9. Limitation of Liability

To the maximum extent permitted by Michigan law:

  • Downtime is provided “as is” without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
  • Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
  • We are not liable for actions taken by third-party platforms (Google, Meta, etc.) regarding your business listings, including suspensions, modifications, or removals not initiated by Downtime.

10. Indemnification

You agree to indemnify and hold harmless Rod's Perspectives LLC from any claims, damages, or expenses arising from your use of the Service, your business content, or your violation of these Terms.

11. Termination

We may suspend or terminate your account if you violate these Terms or engage in conduct that we reasonably believe is harmful to other users, our platform, or third-party partners. We will provide notice before termination when practicable.

12. Changes to Terms

We may update these Terms from time to time. We will notify business owners of material changes via SMS or email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Oakland County, Michigan.
